4. Payment Terms

Pricing and Quotes

• All prices are quoted in Canadian Dollars (CAD) unless otherwise specified
• Quotes are valid for 30 days from the date of issue
• Additional work beyond the agreed scope may incur extra charges
• Prices do not include applicable taxes (GST/HST/PST)

Payment Schedule

• Project payments are typically structured as follows: 50% deposit, 25% at milestone completion, 25% upon project completion
• Monthly services require payment in advance
• Invoices are due within 30 days of receipt
• Late payments may incur a 1.5% monthly service charge

Refund Policy

• Work completed and delivered is generally non-refundable
• Refunds may be considered for work not yet commenced
• Monthly service fees are non-refundable once services have been provided
• Disputes will be resolved through good faith negotiation

5. Intellectual Property Rights

Client-Owned Content

• Clients retain ownership of all content, logos, and materials provided
• Clients grant Muntifemmi license to use materials for project purposes
• Clients warrant they own or have rights to all provided materials

Custom Development

• Custom code and designs become client property upon full payment
• Muntifemmi retains rights to general methodologies and know-how
• Third-party components remain subject to their respective licenses

Portfolio Rights

• Muntifemmi may showcase completed work in portfolios and marketing materials
• Clients may request confidentiality for sensitive projects
• Screenshots and project descriptions may be used unless restricted

6. Project Timelines and Delivery

Timeline Estimates

• Project timelines are estimates based on current scope and assumptions
• Delays caused by client feedback cycles may extend timelines
• Major scope changes may require timeline adjustments
• Force majeure events may impact delivery schedules

Testing and Acceptance

• Clients have 7 days to review and approve final deliverables
• Minor revisions included within scope will be addressed promptly
• Acceptance is deemed after 7 days without response
• Major changes after acceptance may incur additional charges

7. Website Maintenance and Support

Ongoing Support

• Support services are provided during business hours (9 AM - 6 PM EST)
• Emergency support available 24/7 for critical issues
• Response times vary based on issue severity and service level
• Support includes bug fixes but not new feature development

Website Updates

• Security updates and patches applied as needed
• Content updates included within monthly service limits
• Major updates or redesigns require separate agreements
• Backup and restoration services included in maintenance plans

8. Limitation of Liability

To the maximum extent permitted by law:

• Muntifemmi's total liability shall not exceed the total amount paid for services
• We are not liable for indirect, consequential, or incidental damages
• We are not responsible for third-party service interruptions or failures
• Clients are responsible for maintaining current backups of their data
• Force majeure events beyond our control exclude liability

9. Warranties and Disclaimers

Service Warranties

• We warrant that services will be performed with professional skill and care
• Websites will function as specified in project documentation
• We will correct defects in workmanship at no additional charge
• Warranty period is 30 days from project completion

Disclaimers

• No guarantee of specific search engine rankings or traffic levels
• No warranty of uninterrupted website operation
• Third-party services and platforms used at client's risk
• Results may vary based on factors beyond our control

10. Termination

Termination by Client

• Clients may terminate projects with 30 days written notice
• Payment required for all work completed up to termination date
• Deliverables provided for completed work phases
• Monthly services may be cancelled with 30 days notice

Termination by Muntifemmi

• We may terminate for non-payment or breach of contract
• 30 days notice provided for non-emergency terminations
• Immediate termination allowed for material breaches
• Refund provided for unused prepaid services

11. Confidentiality

Muntifemmi agrees to maintain confidentiality of client information including:

• Business strategies and proprietary information
• Technical specifications and system details
• Customer data and personal information
• Financial information and business metrics

Confidentiality obligations survive termination of services and continue indefinitely unless information becomes publicly available through other means.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Ontario, Canada. Any disputes will be resolved through:

• Good faith negotiation between parties
• Mediation through a qualified Canadian mediator
• Binding arbitration if mediation fails
